1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Stratir, a Wyoming corporation ("Stratir," "we," "us," or "our"), governing your access to and use of the WinterMute desktop application, our website, and any related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Services.

2. Eligibility

You must be at least 18 years of age to use our Services. By using the Services, you represent and warrant that you are at least 18 years old, that you have the legal capacity to enter into a binding agreement, and that your use of the Services does not violate any applicable law or regulation in your jurisdiction.

3. Account Registration and Security

To access certain features of the Services, you may be required to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized access to or use of your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate your account if we reasonably suspect that any information you have provided is inaccurate, misleading, or in violation of these Terms.

4. Description of Services

WinterMute is a desktop application designed for open-source intelligence (OSINT) investigations. The Services provide tools for browsing dark web platforms, extracting indicators of compromise, managing investigation cases, and generating intelligence reports using AI-assisted analysis.

The Services include, but are not limited to:

  • An embedded Tor-capable browser for accessing .onion services
  • AI-powered analysis via the Cyro copilot (powered by third-party AI models)
  • Case and evidence management features
  • Intelligence report generation and export capabilities
  • Multi-platform workspace for Tor, Telegram, and clearnet investigations

5. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. WinterMute is designed for legitimate investigative, research, and security purposes. You agree NOT to:

  • Use the Services for any purpose that is illegal under applicable federal, state, or local law, or under the laws of your jurisdiction
  • Use the Services to facilitate, participate in, or promote any criminal activity, including but not limited to drug trafficking, weapons trafficking, human trafficking, terrorism, or fraud
  • Use the Services to harass, stalk, threaten, or intimidate any individual
  • Use the Services to access, collect, or disseminate child sexual abuse material (CSAM) or any content involving the exploitation of minors
  • Attempt to circumvent, disable, or interfere with any security features of the Services
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services, except as permitted by applicable law
  • Use the Services to engage in unauthorized access to computer systems or networks ("hacking"), except as part of authorized penetration testing or security research conducted with proper consent
  • Sublicense, resell, lease, or otherwise redistribute access to the Services without our prior written consent
  • Use the Services to transmit any viruses, malware, or other malicious software
  • Misrepresent your identity or affiliation with any person or organization

We reserve the right to investigate and take appropriate legal action against anyone who violates this Section, including suspending or terminating the offender's account and reporting such conduct to law enforcement authorities.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Services and all associated content, including but not limited to software, text, graphics, logos, icons, images, audio clips, data compilations, and the compilation thereof, are the exclusive property of Stratir or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The WinterMute name, the Cyro name, the Stratir logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Stratir. You may not use such marks without our prior written permission.

6.2 Your Content

You retain all ownership rights to any investigation data, case files, notes, and other content you create using the Services ("User Content"). We do not claim ownership of your User Content. Because WinterMute operates on a local-first architecture, your User Content is stored on your device and is not transmitted to our servers.

6.3 Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Services ("Feedback"), you grant us a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, modify, and incorporate such Feedback into our products and services without restriction or obligation to you.

7. Third-Party Services and AI

The Services integrate with third-party services, including Google's Gemini AI models. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or content of any third-party services.

You acknowledge and agree that:

  • AI-generated analysis and outputs (via Cyro) are provided as assistive tools and should not be relied upon as the sole basis for investigative conclusions
  • AI outputs may contain inaccuracies, hallucinations, or errors. You are responsible for verifying all AI-generated content
  • When using AI features, your query content is transmitted to third-party AI providers for processing
  • We do not guarantee the availability, accuracy, or reliability of third-party AI services

8. Subscription, Payment, and Refunds

Certain features of the Services may require a paid subscription. By subscribing, you agree to:

  • Pay all fees associated with your selected subscription plan
  • Authorize us to charge your designated payment method on a recurring basis
  • Provide accurate and complete billing information

All fees are non-refundable except as expressly stated herein or as required by applicable law. We may change our pricing at any time upon 30 days' prior notice. If you do not agree to the price change, you may cancel your subscription before the change takes effect.

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial billing periods.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT, DATA, OR INFORMATION PROVIDED THROUGH THE SERVICES, INCLUDING AI-GENERATED OUTPUTS.

YOU ACKNOWLEDGE THAT THE TOR NETWORK AND DARK WEB PLATFORMS ACCESSED THROUGH THE SERVICES MAY CONTAIN ILLEGAL, HARMFUL, OR OBJECTIONABLE CONTENT. STRATIR IS NOT RESPONSIBLE FOR ANY CONTENT ACCESSED THROUGH THIRD-PARTY NETWORKS OR PLATFORMS. YOUR USE OF SUCH NETWORKS IS AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STRATIR CORP., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF STRATIR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL STRATIR'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO STRATIR DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

11. Indemnification

You agree to indemnify, defend, and hold harmless Stratir and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property rights
  • Any content you create, submit, or display through the Services

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination:

  • Your right to use the Services will immediately cease
  • You must cease all use of the Services and delete any copies of the software
  • Your locally stored User Content will remain on your device and will not be affected by account termination
  • Sections 6, 9, 10, 11, 14, and 15 shall survive termination

13. Export Compliance

The Services may be subject to United States export control laws, including the Export Administration Regulations (EAR) and sanctions programs administered by the Office of Foreign Assets Control (OFAC). You agree that you will not, directly or indirectly, export, re-export, or transfer the Services or any related technical data to any country, entity, or person prohibited by applicable export control laws without the required governmental authorizations.

You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which export of the Services would be prohibited, and that you are not listed on any U.S. government list of restricted or prohibited parties.

14. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be subject to good-faith negotiation between the parties for a period of thirty (30) days. If the dispute is not resolved through negotiation, it shall be resolved exclusively in the state or federal courts located in the State of Wyoming, and each party irrevocably consents to the personal jurisdiction and venue of such courts.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

15. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Stratir with respect to the Services and supersede all prior agreements and understandings.
  • Severability: If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force Majeure: We shall not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including natural disasters, war, terrorism, epidemics, government actions, or internet or telecommunications failures.
